Terms of Service

1. Introduction

Welcome to Delta Drive. We provide a cloud-based platform designed to help you calculate sales commissions, analyze performance, and share clear dashboards with your team. By using Delta Drive, you agree to these Terms of Service ("Terms"). If you do not agree with them, please do not use the platform.

2. Who's Who

• The Company ("We", "Us") - Automation School International LTD (a company registered in Hong Kong), operating under the brand name Delta Drive.
• The System - The Delta Drive software, website, application, and all related tools.
• The Client ("You") - The organization or individual who creates an account and uses the System.
• Users - Anyone accessing the System on your behalf (such as managers and sales representatives).

3. What We Do

Delta Drive allows you to calculate commissions based on your custom models, sync data from your CRM, and view performance reports. We are always looking to improve, which means we may update, add, or remove features from time to time.

4. Account & Security

You need an account to use Delta Drive. You agree to provide accurate information and keep your login credentials secure. You are fully responsible for any activity that happens under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions, Auto-Renewal & Cancellations

Delta Drive is a Business-to-Business (B2B) service.

• Auto-Renewal: To ensure uninterrupted service, your subscription (monthly or annual) will automatically renew at the end of each billing cycle.
• Cancellation: You can cancel your subscription at any time before the next billing cycle begins.
• Refunds: We bill in advance. We do not offer refunds for partial use or mid-cycle cancellations.
• Price Changes: We may update our pricing in the future. If we do, we will give you clear advance notice. If you don't agree with the new price, you can simply cancel your subscription before the change takes effect.

6. Acceptable Use

Delta Drive is built for your internal business needs. You agree not to copy, resell, distribute, or reverse-engineer the System. You also agree not to use our platform to build a competing product or share your access with unauthorized third parties.

7. Intellectual Property

While you own 100% of your business data, we own Delta Drive. All the code, design, algorithms, and infrastructure belong to Automation School International LTD. Your active subscription gives you a license to use the System, but it does not transfer any ownership rights of the software to you.

8. Third-Party Integrations

Delta Drive connects with external platforms (like your CRM) to pull in data. We are not responsible for the accuracy of the data coming from those external tools, nor can we guarantee uptime if those third-party services experience outages.

9. Data Accuracy & Final Payouts

Delta Drive calculates commissions based on the data you provide or sync. It is your responsibility to verify that the inputted data is correct. The numbers shown in the System are for operational guidance - you hold the ultimate responsibility for calculating and paying actual salaries and commissions to your employees.

10. Security & Confidentiality

We know your sales data is sensitive, and we take that seriously. We use industry-standard cloud security protocols to protect your information. We will never sell your data, nor will we access or share your personally identifiable business information without your explicit consent.

11. Data Ownership & Privacy

You retain full ownership of all your data. Under privacy laws, you are the "Data Controller," and we act strictly as the "Data Processor." We may only use anonymous, aggregated data (which cannot be traced back to you) to improve our service or analyze general trends. It is your responsibility to ensure you have the legal right and necessary consents to process and store your team's and customers' data on our cloud servers.

12. Marketing Rights

We love showcasing the great companies that use Delta Drive to grow. By using the System, you grant us permission to use your company's name and logo on our website and marketing materials. If you prefer to stay completely under the radar, just let us know, and we will happily remove your logo.

13. Service Availability

We work hard to keep Delta Drive running smoothly 24/7. However, the service is provided as a SaaS platform, and we do not guarantee 100% continuous, error-free uptime. There may be occasional interruptions for maintenance or system updates.

14. Limitation of Liability

The System is provided on an "AS IS" basis. To the maximum extent permitted by law, we are not liable for any indirect damages, loss of profits, or loss of data. If we are found liable for any reason, our total liability to you will never exceed the total amount you paid us for the service during the 12 months leading up to the event.

15. Indemnification

You agree to protect and indemnify us from any claims, damages, or legal expenses that arise from your illegal use of the System, your violation of these Terms, or your infringement of any third-party rights.

16. Governing Law & Jurisdiction

These Terms, and your relationship with us, are governed exclusively by the laws of Hong Kong. Any legal disputes regarding the System or these Terms will be handled strictly by the competent courts in Hong Kong.
